Changes in the structure of the PZU Group in 2024 and till the date of publication of the report
The following changes transpired in the structure of the PZU Group in 2024 up to the date of signing of the financial statements:
- On 4 anuary 2024, a new inPZU Puls Życia subfund was registered;
- On 25 January 2024, a transaction was finalized for PZU to acquire 100% of the share capital of Polski Gaz Towarzystwo Ubezpieczeń Wzajemnych, based in Warsaw, from Orlen Spółka Akcyjna. As Polski Gaz Towarzystwo Ubezpieczeń Wzajemnych na Życie, based in Warsaw, is a 100% subsidiary of Polski Gaz Towarzystwo Ubezpieczeń Wzajemnych, the consequence of acquiring the latter entity is that Polski Gaz Towarzystwo Ubezpieczeń Wzajemnych na Życie will also enter the PZU Group;
- On 30 April 2024, PZU Zdrowie (the acquiring company) merged with CM Nowa 5 sp. z o.o., based in Gorzów Wielkopolski the acquired company);
- On 27 May 2024, the liquidation process of AQ Spółka Akcyjna was completed;
- On 31 July 2024, PZU Zdrowie (the acquiring company) merged with Starów a sp. z o.o. the acquired company) in accordance with Article 492 § 1 of the Commercial Company Code. Pursuant to Article 494 § 1 of the Commercial Company Code, on the date of the merger, the acquiring company assumed the rights and obligations of the acquired company;
- On 31 October 2024, the Extraordinary General Meetings of Polski Gaz Towarzystwa Ubezpieczeń Wzajemnych passed a resolution to dissolve the society and put it into liquidation. An analogous resolution was passed at the Extraordinary General Meeting of Polski Gaz Towarzystwo Ubezpieczeń Wzajemnych na Życie.
- On 1 November 2024, the names of the two Societies changed to:
- Polski Gaz Towarzystwa Ubezpieczeń Wzajemnych in liquidation,
- Polski Gaz Towarzystwo Ubezpieczeń Wzajemnych na Życie in liquidation;
- On 31 January 2025, the following changes occurred in the structure of the PZU Group:
- PZU SA’s involvement in UAB “PZU Lietuva gyvybes draudimas” increased from .4% to 100%,
- Alior Leasing Sp. z o.o. acquired a 10% stake in Alior Leasing Individual from AL Finance sp. z o.o.. Since the completion of the transaction, Alior Leasing Sp. z o.o. owns 100% of Alior Leasing Individual sp. z o.o.
